Nicolle Stracar (Weil) is legal counsel to the corporation. She is not a board member.
Bylaws
The amended and restated bylaws (Weil v3) are the current governing draft. Adoption runs one of two ways under the draft itself:
- Approval by two-thirds of serving directors at a meeting (4 of 5), after seven days' written notice of the text
- Unanimous written consent of all five directors
The Secretary signs the certification on the adopted copy and keeps the adopted text and approval record at the principal office: 190 Ainslie St 1B, Brooklyn, NY 11211.
